Hiring Terms of Use
Introduction
Welcome to the GrowthX Talent Platform! Before engaging with our services, carefully review and understand the following detailed Terms and Conditions ("T&C"). By accessing our platform, you explicitly agree to comply with and be bound by these terms.
Services Provided
GrowthX provides a platform to connect companies ("Client") with potential candidates from our dynamic community for roles across product, growth, marketing, and strategy functions.
Client Responsibilities
To facilitate an efficient hiring process, the Client agrees to:
- Post all open roles with complete and accurate details on the GrowthX Talent platform.
- Assign a dedicated Point of Contact (POC) for each role to ensure clear and continuous communication.
- Aim to close applications within a reasonable timeframe to enhance candidate engagement.
- Maintain a feedback loop post-interviews to support a positive experience for all parties.
Platform Usage Fee
Access to the GrowthX Talent Platform and hiring candidates from the GrowthX community is provided at no cost to the Client. GrowthX does not charge any placement fees, commissions, or success fees for hires made through the platform.
Hiring Notification
To help us measure the success of the platform and our community, the Client agrees to promptly notify GrowthX of any candidate hired through the platform.
Role of GrowthX & Disclaimer of Responsibility
GrowthX acts solely as a platform to facilitate communication and interaction between the Client and potential candidates. The Client assumes full responsibility for its hiring process, including but not limited to:
- Evaluating candidate suitability, qualifications, and references.
- Conducting any necessary background checks or pre-employment screening.
- Managing the interview, offer, and onboarding process.
GrowthX does not participate in the Client's internal decision-making process and offers no guarantee of a successful hire. Furthermore, GrowthX shall not be held responsible or liable if a candidate, after an offer has been extended by the Client, refuses the offer, rescinds their acceptance, fails to honor the offer, or does not join the company on the agreed-upon date.
Service Period
This agreement is valid from the date of acceptance and continues until terminated by either party. The Client's access to the GrowthX Talent platform is governed by this agreement.
License
GrowthX grants the Client a limited, non-exclusive, non-transferable license to access and use our platform and the candidate directory solely for the purpose of recruiting candidates for employment with the Client.
Confidentiality & Data Protection
All information exchanged between GrowthX and the Client, including candidate details, is strictly confidential and is to be used only for the purposes of recruitment. It must not be shared with any third party without prior consent.
Data Disclosure
GrowthX may disclose necessary information to candidates when it is essential for the performance of the platform's services. This will include all job requirements posted on the platform or directly shared with GrowthX.
Non-circumvention
The Client agrees not to circumvent the GrowthX Talent Platform in its dealings with candidates introduced by GrowthX. This applies to any direct or indirect interactions with candidates accessed through the platform.
Indemnification and Limitation of Liability
Both parties mutually agree to indemnify, defend, and hold harmless each other from any liabilities, losses, damages, costs, and expenses, including reasonable attorney’s fees, arising from their own breach of these T&C, negligence, or willful misconduct.
Limitation of Liability
In no event shall either party be liable to the other for any indirect, consequential, incidental, special, or exemplary damages. GrowthX's total liability for any damages, losses, and liabilities to the Client under this agreement shall be limited to the greater of 100 USD or the amount, if any, paid by the Client to GrowthX in the preceding twelve months.
Termination
Either party may terminate this agreement by providing at least 30 days' written notice. GrowthX reserves the right to terminate the Client's access to the Platform and Services immediately in case of a material breach of these terms.
Governing Law & Jurisdiction
These Terms are governed by the laws of India.
1. Jurisdiction
The courts at Pune, Maharashtra shall have exclusive jurisdiction for any and all matters arising out of or in connection with these terms.
2. Dispute Resolution
Any dispute arising out of or in connection with this agreement shall be resolved in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996. The parties shall mutually appoint a sole arbitrator, and the arbitration proceedings shall take place in Bengaluru, Karnataka, India. The language for arbitration shall be English.
3. Client’s Content
In consideration of the Services provided by GrowthX, the Client grants GrowthX a non-exclusive, royalty-free right and license to use, reproduce, and display its content, name, trademarks, and logos in connection with identifying the Client as a hiring partner and for the promotion and marketing of GrowthX's services.
Acceptance
By using the GrowthX Talent Platform, you expressly accept and agree to abide by these comprehensive terms and conditions.
